Terms of Service
Effective date: March 18, 2026
These terms govern your access to and use of the aclearly document intelligence platform ("Service") operated by aclearly ("we", "us", "our"). By using the Service you agree to these terms.
1. Acceptance of Terms
By creating an account or using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Service Description
aclearly provides AI-powered document data extraction, storage, and business intelligence. You upload business documents (invoices, bills of lading, lien waivers, purchase orders, and similar) and the Service returns structured data extracted from those documents using AI models.
The Service also includes document storage, semantic search, anomaly detection, and a natural-language insights interface powered by your uploaded document data.
3. Accounts
- You must provide accurate information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately at security@aclearly.com if you suspect unauthorized access
- One person or entity per account unless you have a team plan
- You must be at least 16 years of age to use the Service
4. Your Data
Ownership
You retain all rights to the documents you upload and the data extracted from them. We do not claim ownership of your content. By uploading documents, you grant us a limited license to process, store, and display that content solely to provide the Service to you.
Responsibility
You are responsible for ensuring you have the right to upload documents to the Service. Do not upload documents containing information you are not authorized to process or share.
Deletion
You may delete individual documents and extractions at any time. When you delete your account, all associated data (documents, extractions, embeddings) will be permanently deleted within 30 days.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload documents containing malware or malicious content
- Attempt to bypass rate limits, authentication, or security controls
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use automated tools to scrape or bulk-access the Service outside of provided APIs
- Resell access to the Service without written authorization
- Interfere with or disrupt the Service or its infrastructure
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.
6. Pricing and Payment
Free Tier
Free accounts include 3 document extractions per day. Free tier availability, limits, and features may change at any time.
Paid Plans
Paid plans are billed through Stripe in accordance with the pricing displayed at the time of purchase. Subscriptions renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Pay-As-You-Go
Pay-as-you-go usage is billed at the rate displayed at the time of purchase ($0.10 per document at launch). We may adjust pricing with 30 days notice.
Refunds
Subscription fees are non-refundable except where required by law. Pay-as-you-go credits for failed extractions (where no usable output was returned) will be automatically credited back to your account.
7. AI Processing and Accuracy
The Service uses AI models (currently Azure OpenAI GPT-4o) to extract data from documents. While we strive for high accuracy, AI-generated output may contain errors. You are responsible for reviewing and validating extracted data before relying on it for business decisions.
We provide confidence scores with each extraction to help you assess reliability. See our AI Disclosures for more detail on how AI is used in the Service.
8. Service Availability
We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or due to circumstances beyond our control. We are not liable for any losses caused by Service downtime.
9. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by aclearly and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or brand assets.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACLEARLY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
11. Indemnification
You agree to indemnify and hold aclearly harmless from claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights (including uploading documents you were not authorized to process).
12. Modifications
We may update these terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes will be resolved in the courts of Travis County, Texas.
14. Termination
You may terminate your account at any time. We may terminate or suspend your access if you violate these terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4, 10, 11, and 13) will survive.
